SaaS auto-renewal clauses and notice periods explained
An auto-renewal clause renews your SaaS contract for another term unless you give notice before a set deadline. That deadline, the notice period, is often 30 to 90 days before the renewal date. How common are auto-renewal clauses?
Very common. Vertice reports that 89% of SaaS contracts include auto-renewal clauses (Vertice, checked 2026-09-30). It also reports that SaaS prices rise by an average of 9% when contracts auto-renew.
Renewals are also frequent. Zylo counts an average of 211 SaaS renewals per year per organization in its dataset, mostly large companies (Zylo, updated 2026-02-05). A 50-person company has far fewer, but often no one owns the renewal calendar.
What should I check in the contract?
Look in the order form first, then the master terms. Check the order-of-precedence clause to see which one wins if they conflict.

How do I work out the notice deadline?
Subtract the notice period from the end date of the current term.
Example: the term ends on March 31. The notice period is 60 days. The notice deadline is January 30. If you want time to negotiate, start around December 1.
Be careful with "business days" and with time zones. If in doubt, give notice a few days early.
What calendar system actually works?
Keep it simple. For each contract, create three calendar events:
- Notice deadline minus 60 days: "Start [Vendor] renewal. Pull usage, request quotes."
- Notice deadline minus 14 days: "Decide on [Vendor]. Send non-renewal notice if no deal."
- Notice deadline: "Last day to give [Vendor] notice."
Put the annual cost and the contract link in each event. Invite the budget owner. A shared calendar beats a spreadsheet nobody opens.
Should I send a non-renewal notice to keep leverage?
It is a common tactic when a deadline is close and talks are not finished. A non-renewal notice stops the automatic renewal. You can still sign new terms before the term ends.

What should I ask for in the next contract?
- Remove auto-renewal, or require written confirmation before renewal. Vertice says many vendors accommodate this request.
- Shorten the notice period to 30 days.
- Allow notice by email to a named address.
- Cap increases, for example at 5% per renewal.
- Allow seat reductions at renewal.
